These Terms of Use (“Terms”) govern your access to and use of RoundTrader (“RoundTrader”, “we”, “us”, or “our”), including our websites, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.

1. Eligibility

You must be legally able to form a binding contract and comply with applicable laws. The Service is not intended for use where prohibited.

2. No investment advice

RoundTrader is a software tool. We do not provide investment, legal, or tax advice. Nothing on the Service constitutes a recommendation or solicitation to buy or sell securities. Trading involves risk, including the possible loss of principal.

3. Accounts and authentication

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Brokerage connections

If you connect a brokerage or third-party provider (e.g., via OAuth), you authorize RoundTrader to access data and perform actions as permitted by your authorization. Third-party services are governed by their own terms and policies.

5. Subscriptions, billing, and cancellations

Paid features may require a subscription. Billing is handled by our payment processor (e.g., Stripe). You can manage or cancel your subscription through the billing portal or as otherwise provided in the Service. Fees are non-refundable except where required by law.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent purposes
• Interfere with or disrupt the Service, including attempting to bypass security or access controls
• Reverse engineer, decompile, or attempt to extract source code except where permitted by law
• Use the Service in a way that violates third-party terms, including broker or market-data terms

The Service, including its software, content, and trademarks, is owned by RoundTrader or its licensors and is protected by applicable laws.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUNDTRADER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

10. Termination

We may suspend or terminate access to the Service at any time if we reasonably believe you have violated these Terms or if necessary to protect the Service or other users.

11. Changes

We may update these Terms from time to time. If changes are material, we will provide notice as required by law. Your continued use of the Service after the effective date means you accept the updated Terms.
